These Terms and Conditions ("Terms") govern access to and use of the websites, software access, CRM services, automation services, marketing services, implementation services, consulting, integrations, artificial intelligence features, and other services provided by Customer Journey Marketing ("CJM," "we," "us," or "our"). By purchasing, subscribing to, accessing, or using our Services, you agree to these Terms.
Our Services
Customer Journey Marketing may provide services including:
- CRM systems and account access
- Marketing automation
- Workflow development
- Funnel and landing page development
- Website services
- Email and SMS automation
- Appointment and calendar systems
- Lead management
- Pipeline configuration
- AI-powered features and assistants
- Third-party integrations
- Payment system integrations
- Domain and DNS assistance
- Google Workspace setup assistance
- A2P registration assistance
- Reporting and analytics
- Marketing services
- Technical implementation and support
- Consulting and strategy
Specific deliverables, limitations, timelines, revision allowances, support levels, and pricing may be defined through a proposal, invoice, order form, service plan, Statement of Work, checkout page, or other written agreement.
If a project-specific agreement conflicts with these general Terms, the project-specific agreement will control for that specific service.
Third-Party Platforms
CJM uses and integrates third-party technologies that may include HighLevel, LeadConnector, Google, Meta, Stripe, payment gateways, domain providers, telecommunications providers, artificial intelligence providers, Make, APIs, and other software platforms.
CJM does not own or control these third-party services.
Features, pricing, availability, policies, APIs, approval requirements, delivery rates, and functionality may change without CJM's control.
CJM is not responsible for outages, suspensions, restrictions, platform policy changes, data loss, API changes, pricing changes, service interruptions, approval denials, or other actions caused by third-party providers.
Use of third-party services may also be subject to the provider's own terms, privacy practices, acceptable-use requirements, policies, and fees.
Client Responsibilities
Clients agree to:
- Provide accurate business and account information.
- Maintain secure login credentials.
- Maintain appropriate user and access controls.
- Provide information and approvals reasonably required for implementation.
- Ensure they have appropriate rights to all content and data supplied to CJM.
- Follow applicable privacy, advertising, consumer protection, telecommunications, and marketing laws.
- Obtain appropriate consent before contacting individuals through email, SMS, telephone, or other communications.
- Maintain required suppression, opt-out, and consent records.
- Avoid uploading unlawfully obtained, purchased, scraped, or unauthorized contact lists.
- Review automations, campaigns, AI-generated content, and configured systems before using them in production.
- Maintain appropriate backups or exports of business-critical information where appropriate.
- Use third-party services in accordance with their applicable terms.
Clients remain responsible for the legality and accuracy of their offers, products, claims, advertisements, content, customer communications, and overall business practices.
CJM's provision of software, configuration, marketing, CRM, AI, or automation services does not transfer the client's compliance responsibilities to CJM.
Fees and Billing
Fees will be described in the applicable plan, proposal, invoice, checkout page, Statement of Work, or other written agreement.
Subscription Fees
Recurring software, CRM, platform, maintenance, marketing, support, or service fees may automatically renew until properly canceled.
By purchasing a recurring service, the client authorizes CJM or its authorized payment provider to charge the payment method on file according to the selected billing cycle.
Setup and Implementation Fees
Implementation, onboarding, migration, configuration, CRM buildout, funnel development, automation development, website services, integrations, and related setup fees compensate CJM for professional work performed.
These charges are separate from recurring subscription charges unless specifically stated otherwise.
Usage-Based Fees
Certain services may generate additional consumption-based charges, including:
- Email sending
- SMS and MMS
- Phone calls and phone numbers
- Artificial intelligence usage
- Email verification
- Premium workflow actions
- WhatsApp services
- Domain-related services
- Third-party applications
- API usage
- Other metered services
The client is responsible for applicable usage charges generated through their account.
Third-Party Fees
Third-party charges may include:
- Domain registrations
- Software subscriptions
- Advertising spend
- Payment-processing fees
- Marketplace applications
- Telecommunications fees
- A2P or registration costs
- External software and APIs
- Hosting
- Third-party subscriptions
Unless explicitly stated otherwise, these fees are not included in CJM's professional service fees.
Failed Payments
If a payment cannot be successfully processed, CJM may:
- Retry the payment.
- Notify the client.
- Restrict certain features.
- Pause work.
- Suspend CRM or software access.
- Suspend services.
- Terminate services after reasonable notice.
Third-party services may also stop functioning when sufficient funds, credits, or payment methods are unavailable.
The client remains responsible for outstanding balances and charges incurred before suspension, cancellation, or termination.
Scope of Work and Additional Requests
CJM will perform the work included in the client's purchased service, proposal, plan, or Statement of Work.
Requests outside that scope may require:
- Additional fees
- Additional project hours
- An upgraded plan
- A new proposal
- A separate Statement of Work
CJM is not required to provide unlimited revisions, unlimited workflow development, unlimited website changes, unlimited technical support, unlimited integrations, or other services unless specifically included in the applicable agreement.
Client Data and Content
Clients retain ownership of their:
- Customer and lead data
- Business information
- Original written content
- Trademarks and logos
- Uploaded media
- Product and service information
- Other materials supplied by the client
The client grants CJM the limited rights reasonably necessary to access, process, configure, copy, transfer, or otherwise use those materials solely as necessary to provide the Services.
The client represents that it has the legal rights and permissions necessary to provide those materials to CJM.
CJM Intellectual Property
Unless otherwise agreed in writing, CJM retains ownership of its pre-existing and reusable intellectual property, including:
- Automation frameworks
- Workflow architecture
- Templates and snapshots
- Reusable funnel structures
- System configurations
- Software concepts
- Methodologies
- Internal documentation
- Processes and scripts
- Reusable code
- Technical knowledge
- Business systems
- Generalized solutions developed through CJM's experience
Purchasing services from CJM does not automatically transfer ownership of CJM's underlying frameworks, reusable systems, templates, or intellectual property.
Upon full payment, clients may use client-specific deliverables provided to them for their business in accordance with the applicable agreement.
Exclusive ownership, source-code ownership, template ownership, resale rights, or transfer of specific intellectual property must be separately agreed to in writing.
CRM and Sub-Account Access
Certain clients may receive access to CRM, software, or HighLevel sub-accounts managed within CJM's agency infrastructure.
Access remains subject to:
- Current payment status
- These Terms
- Applicable service agreements
- Applicable platform rules
- Acceptable-use requirements
- Technical availability
CJM may restrict or suspend access where reasonably required to protect CJM, an underlying platform, another customer, telecommunications reputation, email reputation, payment-processing relationships, or third parties.
CJM may also suspend access where required by an underlying service provider.
Account Transfers and Cancellation
If a client terminates CJM services and requests transfer of an eligible CRM or software sub-account, CJM will reasonably cooperate with the transfer where technically available and permitted by the underlying platform.
Before transfer, the client must:
- Pay outstanding CJM invoices.
- Pay outstanding usage charges.
- Resolve third-party balances.
- Provide information reasonably necessary for the transfer.
Transfer does not guarantee that every integration, phone number, domain, application, AI configuration, workflow, external subscription, payment integration, or third-party feature will remain operational after migration.
CJM intellectual property, licensed templates, proprietary frameworks, or reusable materials may be removed or excluded from a transfer where technically feasible unless ownership rights were separately purchased or granted.
Client business data remains the client's data.
Communications, Email, SMS, and Messaging
Clients using CJM systems to send communications are responsible for ensuring that recipients are contacted lawfully.
Where SMS, telephone, or marketing consent is legally or contractually required, consent must be appropriately obtained and documented.
Clients may not use CJM systems to circumvent consent requirements, carrier requirements, platform rules, or opt-out requirements.
Recipients must be provided appropriate mechanisms to stop receiving communications where required.
CJM Messaging Program
Program Name: Customer Journey Marketing
CJM may send:
- Service notifications
- Appointment reminders
- Follow-ups
- Account communications
- Billing communications
- Support communications
- Promotional messages where separately permitted or consented to
Message frequency may vary. Message and data rates may apply.
Where supported, recipients may reply STOP to stop SMS messages and HELP for assistance.
Carriers are not responsible for delayed or undelivered messages.
Marketing consent is not a condition of purchasing CJM services unless the communication is necessary to provide the requested service.
Email Marketing
CJM and its clients must use email communications responsibly.
Clients may not knowingly use CJM systems to:
- Send unlawful spam.
- Intentionally disguise sender identity.
- Use deceptive subject lines.
- Circumvent unsubscribe requests.
- Send marketing communications to unlawfully obtained contact lists.
- Violate applicable email-marketing laws.
- Intentionally damage CJM's or a provider's sending reputation.
Where required, commercial marketing emails should contain an appropriate unsubscribe mechanism and sender information.
Artificial Intelligence
CJM may provide, configure, integrate, or otherwise make available artificial intelligence features.
AI-generated outputs may be inaccurate, incomplete, outdated, misleading, or inappropriate.
Clients are responsible for reviewing AI-generated content before relying on it, publishing it, distributing it, or using it for business decisions.
Unless specifically provided by an appropriately licensed professional, AI services offered or configured by CJM are not substitutes for legal, medical, financial, tax, accounting, or other licensed professional advice.
Clients should not intentionally submit highly sensitive, confidential, regulated, or legally restricted information into AI systems unless they have independently confirmed that the applicable provider, configuration, contract, and legal requirements permit such processing.
No Guarantee of Business Results
CJM does not guarantee:
- Revenue
- Profit
- Sales
- Lead volume
- Advertising profitability
- Conversion rates
- Search rankings
- Inbox placement
- Email deliverability
- SMS delivery
- A2P approval
- Payment-processor approval
- Social-media account approval
- Advertising-account approval
- Third-party platform approval
- Specific AI performance
- Uninterrupted third-party availability
- Specific commercial outcomes
Marketing, sales, technology, CRM, automation, and advertising performance can be affected by factors outside CJM's control.
Acceptable Use
CJM Services may not be used for:
- Unlawful activities
- Fraud
- Phishing
- Malware distribution
- Unauthorized surveillance
- Harassment
- Deceptive impersonation
- Intellectual-property infringement
- Unlawful spam
- Unauthorized collection of personal information
- Attempts to bypass platform security
- Activities prohibited by an underlying technology provider
- Conduct likely to materially damage CJM's systems, sending reputation, telecommunications reputation, platform relationships, or other customers
CJM may suspend or terminate Services where reasonably necessary to address suspected fraud, abuse, unlawful conduct, security threats, provider-policy violations, or material risk.
Confidentiality
Each party may receive confidential business, customer, technical, financial, operational, or proprietary information from the other.
Each party agrees to use reasonable safeguards to protect confidential information and use it only for purposes reasonably connected with the business relationship.
Confidentiality obligations do not apply to information that:
- Becomes publicly available through no breach.
- Was lawfully known before disclosure.
- Is independently developed without using the confidential information.
- Is lawfully received from another source.
- Must be disclosed by law, court order, or lawful authority.
Security
CJM uses reasonable administrative and technical safeguards appropriate to its operations.
However, no internet-based, software-based, cloud-based, or electronic system can be guaranteed to be completely secure.
Clients are responsible for:
- Protecting passwords.
- Enabling available security controls.
- Restricting unnecessary access.
- Removing access for former personnel.
- Promptly notifying CJM of suspected unauthorized access.
- Following applicable security practices for their own organization.
Suspension and Termination
CJM may suspend or terminate Services for:
- Non-payment
- Material breach of these Terms
- Unlawful use
- Fraud
- Abuse
- Security threats
- Excessive risk to infrastructure
- Excessive risk to telecommunications or sending reputation
- Third-party provider requirements
- Activities reasonably likely to harm CJM, its providers, or other customers
Where reasonably practical, CJM may provide notice and an opportunity to correct the issue.
Immediate suspension may occur where reasonably necessary to address fraud, security issues, provider enforcement, legal requirements, or material risk.
Service Availability
CJM will use commercially reasonable efforts to provide reliable Services but does not guarantee uninterrupted availability.
Availability may be affected by:
- Scheduled maintenance
- Internet failures
- Telecommunications failures
- Provider outages
- API failures
- Cybersecurity incidents
- Third-party changes
- Natural disasters
- Government action
- Force majeure events
- Circumstances reasonably outside CJM's control
Disclaimer of Warranties
To the fullest extent permitted by applicable law, Services are provided on an "as available" basis.
CJM does not warrant uninterrupted operation, error-free performance, guaranteed commercial results, third-party availability, or continuous platform functionality unless specifically stated in a written agreement.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
Limitation of Liability
To the fullest extent permitted by applicable law, CJM will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of:
- Profits
- Revenue
- Business opportunities
- Goodwill
- Data
Unless applicable law requires otherwise, CJM's aggregate liability relating to a claim will not exceed the fees actually paid to CJM for the affected Service during the three months immediately preceding the event giving rise to the claim.
This limitation does not apply where liability cannot legally be limited or excluded.
Indemnification
To the extent permitted by applicable law, the client agrees to defend, indemnify, and hold CJM harmless from third-party claims arising from:
- The client's unlawful use of the Services.
- Client-provided content.
- Client advertising or business claims.
- Unauthorized communications.
- Failure to obtain required consent.
- Violations of privacy or telecommunications requirements.
- Intellectual-property infringement caused by materials supplied by the client.
- Misuse of third-party platforms.
- Material breach of these Terms.
Governing Law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.
Subject to mandatory rights or dispute-resolution requirements under applicable law, disputes will be brought before the appropriate courts having jurisdiction in Tagaytay City, Cavite, Philippines.
Nothing in this section removes legal rights that cannot lawfully be waived.
Changes to These Terms
CJM may update these Terms as its Services, technologies, legal requirements, platform relationships, or business model change.

Material changes may also be communicated through the website, client account, platform, or email where appropriate.
